Bio

Jacqui Baynham is a Law Society of Scotland Accredited Paralegal at TC Young with over 30 years’ legal experience in providing company secretarial services, governance and legal structures.  Jacqui is an Accredited Paralegal in the practice area of Company Secretarial; and is a long term member of the Scottish Paralegal Association.

Her role has evolved considerably over the years reflecting her wealth of experience and technical ability and she holds University of Strathclyde Specialist Paralegal Qualifications in the fields of both Company Law and Employment Law. 

Jacqui assists clients with meeting their obligations under the Companies Acts and Charities Acts and acts on behalf of the firm by providing company secretarial services, acting as registered office for a variety of organisations (company limited by guarantee/company limited by shares/Scottish charitable incorporated organisations (SCIOs) and trusts), maintaining their registers, and assisting them with their annual statutory filing obligations with Companies House and OSCR. As well as supporting colleagues across the firm with their transactional matters, she also deals with the audit requests received on behalf of the firm.   

She guides clients through the various processes required to incorporate a new company (including subsidiary companies); incorporating standard or bespoke private companies for charitable and non-charitable clients; amending their articles of association to bring them into line with the current Companies Act; supporting clients on the processes with Companies House and, when required, with OSCR in order to retain and/or attain charitable status.

Advising regularly on charity registration (including the legal structure of SCIO), charity compliance, and charity re-organisation, change of legal form and OSCR annual returns. Jacqui completed the first transfer of a SCIO undertaking in Scotland which was a complex procedure and involved the setting up of a new SCIO prior to the transfer being able to proceed. She also assisted charitable clients based in England who wished to register as a charity in Scotland taking them through the process involved to complete charity registration.

In addition, she is extensively involved with the rule change process for Registered Social Landlords (RSLs) and working with approximately 80 RSLs who have or are adopting the latest model by supporting clients on the process with the Financial Conduct Authority, the Scottish Housing Regulator (SHR) and, when required, OSCR. Jacqui is mainly responsible for the rule changes generated from ex-TC Young partner Mark Ewing’s involvement in the SFHA 2020 Model Rules, which were developed with the Scottish Federation of Housing Associations (SFHA) to reflect the regulatory framework and constitutional requirements.

Jacqui plays a key role in various mergers and transfer of engagements for RSLs and liaises with the relevant authorities throughout the process on their behalf.   She has assisted with the conversion of a company limited by guarantee to a community benefit society which in turn allowed a transfer of engagements to proceed at the relevant time.   She has also guided RSLs through the processes required to change their name and as part of the process of rebranding, changing the name of their subsidiary companies.
