Our experienced team has substantial experience working with clients on governance matters, legal structures, rules and regulatory compliance.

Governance

We advise charity clients on governance, the statutory duties of trustees, taxation and group structure issues. Our team frequently advise clients on day-to-day governance situations including assisting in the development of appropriate policies and procedures.

Legal Structures

Our team has been involved in a number of significant group structures established in Scotland; both for wholly Scottish organisations and organisations involving parent bodies registered in England.

Partnership and Strategic Alliances

Organisations increasingly work alongside other bodies and our team assists to develop appropriate arrangements for such work. We have experience in advising clients in relation to the multitude of regulatory, governance and commercial issues flowing from such “partnering” arrangements.

Regulatory Compliance

We provide advice on compliance with governance expectations of the housing and charity regulators on such matters as probity and diversification of activities, and compliance with the various Codes of Conduct or Practice which apply in each sector.

Model Rules

We have substantial experience in working with social housing clients on issues relating to their rules. Working alongside the Scottish Federation of Housing Associations we have been involved in a number of model rules updates.
